OpenAI seeks to fend off hostile takeovers with public benefit structure, FT reports

Asia Tech Wire (Oct 10) -- OpenAI is adopting a largely untested corporate structure to fend off hostile takeovers and protect CEO Sam Altman from outsiders, according to the Financial Times.

OpenAI, which received $6.6 billion in new funding last week, is planning to reorganize into a public benefit corporation, a new and rare corporate model that AI competitors like Anthropic and Tesla CEO Elon Musk's xAI have adopted.

Wednesday's report, citing multiple people familiar with the matter, said one of the main benefits of this public benefit corporation structure is that it has the potential to thwart unwelcome takeovers or demands from activists.

This means that if an existing investor such as Microsoft or another party tries to acquire OpenAI, they could suffer a setback.
